Terms & Conditions
Last updated 2026. These terms govern use of Brainztem, the free trial, and the referral program.
1 · The free trial
Scanning your website creates a free, private, 48-hour trial workspace hosted at brainztem.com/<your-company>. The trial is a working preview built from your public site.
Your work carries over. Anything set up during the trial — brand, crew, seeded content, and points — is preserved if you purchase Phase 1 within the trial window and carries into your real, editable instance.
Expiry. If you do not purchase within 48 hours, the trial workspace and its data are deleted promptly after the window ends. Trials are provided as-is, with no uptime or availability guarantee.
2 · The service
Brainztem is an agentic operating system. By default, agent actions that send externally, spend money, change code, or delete data are human-gated — they require your explicit approval and never execute on their own. You are responsible for the content you approve and send.
Auto mode. Brainztem offers an optional Auto mode that lets specified agents carry out approved categories of work without pausing for per-action approval, so routine tasks run hands-free. Auto mode is off by default and must be deliberately enabled by you.
When you enable Auto mode, agents may take real actions in the categories you authorize without a further approval step. Automated actions can be wrong, and some — sending a message, spending money, deleting data — are difficult or impossible to undo. You remain fully responsible for everything your agents do under Auto mode, you enable it at your own risk, and Brainztem is not liable for the outcome of actions you have authorized to run automatically. We recommend keeping the hard-gate categories (external communication, money, code & infrastructure, irreversible deletes) under human approval, and turning Auto mode on only for scopes you are comfortable running unattended. You can disable Auto mode at any time.
Paid engagements are delivered in two phases — Phase 1 ($6,000) stands up your brain and crew; Phase 2 ($4,500) activates and scales it. See pricing for what's included.
3 · Referral program (premium points)
Refer a business that becomes a paying Brainztem client and you earn premium points worth 10% of that client's contract value (one point per dollar of the 10%). Premium points convert to cash at $1 per 2 points ($0.50 per point).
A full two-phase contract of $10,500 ($6,000 Phase 1 + $4,500 Phase 2): 10% = $1,050 → 1,050 premium points → $525 cash.
- Earned when the referred client's contract is paid.
- Payable 30 days later. Cash becomes payable 30 days after the client pays, then is settled in the next monthly payout run.
- Clawback. If the referred client refunds, charges back, or churns before the 30-day hold ends, the commission is voided (points and cash forfeited).
- Attribution. A client is credited to a single referrer, determined at the time the trial or engagement is created. Self-referrals and duplicate submissions are not eligible.
- Taxes. Payouts are commission income; you are responsible for any applicable taxes. Brainztem may require tax information before paying out.
- Brainztem may modify or end the program prospectively; already-earned commissions are honored.
4 · Data & privacy
Your workspace is private; your data stays yours. Trial workspaces are synthesized from your public website and contain no confidential platform data. We process only what's needed to run the service and the referral program — see our Privacy Policy for the full detail on what we collect, who processes it, and your rights.
